Terms of Service

These Terms of Service (“Terms”) govern your use of the websites and services provided by Bayesite Technologies LLC (“Bayesite,” “we,” “us,” “our”), including our software products such as RRE Assistant, and any related services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms.
1) Who May Use the Services
You must be legally capable of forming a binding contract to use the Services. If you use the Services on behalf of an organization, you represent you have authority to bind that organization to these Terms.
2) The Services
Bayesite provides workflow and information management software, including tools for organizing cases, collecting documents via portals, tracking status, generating exports, and maintaining audit trails.
Bayesite is not a law firm and does not provide legal advice. The Services are tools to help teams manage information and workflows. You are responsible for determining whether and how to use the Services to meet your obligations.
3) Accounts, Roles, and Access
- You may need an account to use parts of the Services.
- Organizations may assign roles/permissions to users. You agree to use the Services only within the permissions granted to you.
- You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
4) Portal Links (External Intake)
Some features allow an organization to create a portal link for external parties to submit information and documents (“Portal”). If you create or share a portal link, you are responsible for:
- Sharing it only with intended recipients
- Managing rotation/expiration as appropriate
- Ensuring you have rights to collect and process submitted information
Portal Users agree not to submit unlawful, harmful, or malicious content.
5) Customer Content
“Customer Content” means information, files, and materials submitted to the Services by you, your organization, or Portal Users.
- You retain ownership of Customer Content.
- You grant Bayesite a limited, non-exclusive right to host, store, process, transmit, and display Customer Content solely to provide and improve the Services.
- You represent you have all rights necessary to provide Customer Content and that doing so does not violate law or third-party rights.
6) Acceptable Use
You agree not to:
- Use the Services for illegal activities
- Upload malware or attempt to disrupt the Services
- Attempt unauthorized access to systems or data
- Interfere with other users’ access or usage
- Reverse engineer or misuse the Services except as permitted by law
We may suspend or terminate access for violations.
7) Subscriptions, Fees, and Taxes
If you purchase a subscription:
- Fees and billing cycles will be presented at checkout or in an order form.
- You authorize us (and our payment processor) to charge applicable fees and taxes.
- Unless stated otherwise, subscription fees are non-refundable and auto-renew until canceled.
You are responsible for all applicable taxes except those based on our income.
8) Third-Party Services
The Services may integrate with or rely on third-party providers (e.g., hosting, storage, payment processing, analytics). Bayesite is not responsible for third-party services outside our control.
9) Intellectual Property
Bayesite and its licensors own the Services, including software, design, and branding. You may not use Bayesite trademarks or branding without permission.
10) Feedback
If you provide suggestions or feedback, you grant Bayesite the right to use it without restriction or compensation.
11) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYESITE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- BAYESITE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA.
- BAYESITE’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO BAYESITE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY FEES), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13) Indemnification
If permitted by law, you agree to indemnify and hold harmless Bayesite and its affiliates from claims arising out of:
- Your use of the Services
- Your Customer Content
- Your violation of these Terms or applicable law
14) Termination
You may stop using the Services at any time. Bayesite may suspend or terminate access if you violate these Terms or if necessary to protect the Services or other users. Upon termination, certain provisions (e.g., IP, disclaimers, limitation of liability) survive.
15) Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction and venue of those courts.
16) Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date reflects the latest revision. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
